Ministry of Corporate Affairs Through Registrar of Companies West Bengal vide adjudication order dated 22.04.2025 has imposed a Penalty of Rs. 2,64,500/- on the Director for holding More than One DIN.
According to Section 155 of the Companies Act 2013, No individual, who has already been allotted a Director Identification Number under section 154, shall apply for, obtain or possess another Director Identification Number.
the captioned director is in default and is liable for penal action under section 159 of the Companies Act, 2013 for violation of Section 155 of the said Act.
If any individual or director of a company makes any default in complying with any of the provisions of section 152, section 155 and section 156, such individual or director of the company shall be liable to a penalty which may extend to fifty thousand rupees and where the default is a continuing one, with a further penalty which may extend to five hundred rupees for each day after the first during which such default continues.
The Director holding the second DIN for a period of 429 days. Thus, the penalty will be Rs.500/- per day along with Rs.50,000/- total Amounting to Rs. 2,64,500/-
The concerned director shall pay the said amount of penalty individually (Out of own pocket) by way of e-payment [available on Ministry website www.mca.gov.in] under, pay miscellaneous fees" category in MCA fee and payment services within 90 days of receipt of the order.
Your attention is also invited to section 454(g)(i) and (ii) of the Act regarding consequences of non-payment of penalty within the prescribed time limit of 90 days from the date of the receipt of copy of this order.
Appeal against this order may be filed in writing with the Regional Director with in 60 Days.
